1. Acceptance of Terms

By accessing or using viralkey.ai (the "Services"), you agree to these Terms of Service (the "Terms"). If you disagree, do not use the Services.

2. Eligibility

• You must be 18 years or older and capable of entering into a legal contract in order to use viralkey.
• We may restrict access in prohibited regions.

3. User Conduct

You agree not to:

• Upload or generate illegal, harmful, or infringing content (e.g., hate speech, CSAM, non-consensual imagery).
• Reverse-engineer, scrape, or misuse the Services.
• Violate laws or third-party rights (e.g., copyright, privacy).

4. User Content & Ownership

• Your Content: You retain rights to content you upload or generate.
• License to Us: You grant viralkey a non-exclusive, worldwide license to process content to operate the Services.
• AI Training: We may use anonymized data to improve AI models (opt-out available).

5. AI-Generated Content

• No Guarantees: Outputs may contain errors, biases, or unintended content. Use at your own risk.
• Compliance: You are responsible for ensuring AI outputs comply with laws (e.g., copyright, EU AI Act).

6. Subscriptions & Payments

• Free Tier: A limited number of non-expiring credits for non-commercial use.
• Pro Tier: Monthly credits. Unused credits expire.

6A. How to Cancel a Subscription

To cancel, sign in to viralkey.ai, open your account menu, select Account, and locate the subscription card in the Account panel. Select Cancel renewal and confirm in the dialog that appears.

Cancellation stops future renewals only. Your plan stays active, and its credits remain usable, until the end of the billing period you have already paid for; you will not be charged again after that. Once cancellation is scheduled, the subscription card shows that renewal is canceled instead of the Cancel renewal option.

If the cancellation option is unavailable, hidden, or blocked by a failed payment, past-due invoice, pending billing action, or technical issue, email [email protected] from your registered email and request cancellation. We will help cancel the subscription or stop further renewals.

7. Refund Policy

• AI Results: AI-generated content may be unstable, random, or inconsistent, and results are not guaranteed. Refunds are not provided solely due to dissatisfaction with generated results.
• Partial Refunds: Partial refunds are not supported for any products or plans.
• Subscriptions: Only completely unused and unexpired subscriptions (including monthly and annual plans) are eligible for a full refund.
• Credits: Credit packs are non-refundable, regardless of whether they are partially or fully used, and cannot be withdrawn, deducted, or returned once purchased.
• Refund Requests: To request a refund, please email [email protected] with your registered email, payment receipt or transaction screenshot, and purchased product details.
• Additional Notes: Free trials, free credits, and promotional giveaways are not eligible for refunds. We may update this refund policy from time to time, and changes will apply to current and future purchases.

8. Intellectual Property

• Your Rights: You own content created using the Services.
• Our Rights: viralkey owns the platform, algorithms, and interfaces.

9. Termination

We may suspend or terminate accounts for:

• Violations of these Terms.
• Fraudulent activity.
• Legal/regulatory compliance.

10. Disclaimers

• As-Is Basis: Services are provided "as is" without warranties.
• Third-Party Tools: Integrated models follow their own terms.

11. Limitation of Liabilities

Except where prohibited by law, viralkey, its affiliates, or licensors shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages (e.g., profit loss, data loss).
• Claims exceeding $100 USD or fees paid in the past 12 months (whichever is greater).

Some jurisdictions prohibit liability limitations. These terms may not apply fully to you.

12. Indemnity

You agree to indemnify viralkey, its directors, employees, agents, and affiliates against:

• Third-party claims, losses, or expenses (including legal fees) arising from your misuse of the Services.
• Violations of these Terms or third-party rights.

13. Independent Remedies

Sections 10 (Limitation of Liabilities) and 11 (Indemnity) apply independently, even if remedies fail. These cover claims based on:

• i. Breach of contract or warranty.
• ii. Tort (negligence, misrepresentation).
• iii. Strict liability.
• iv. Any other legal theory.

14. Feedback

Feedback submitted to viralkey is non-confidential. We may use it without compensation.

15. Breach of Terms

We may suspend or terminate your access without notice for:

• i. Law enforcement or government requests.
• ii. Voluntary account deactivation.
• iii. Technical or operational issues.
• iv. Security risks.

No liability applies if access is revoked due to your breach.

16. Governing Law & Jurisdiction

• Governing Law: New York law (excluding conflict of laws).
• Dispute Resolution: First attempt amicable negotiation. Unresolved disputes go to binding arbitration under AAA Commercial Rules in New York, NY (English language).

17. Miscellaneous

• i. Entire Agreement: Supersedes all prior agreements.
• ii. Waiver: Failure to enforce a term is not a waiver.
• iii. Severability: Unenforceable terms do not invalidate others.
• iv. Survival: Sections 10, 11, and 15 survive termination.
